About Our Client
Our client is a regional leader in interactive entertainment distribution, they specialize in delivering video games and digital content across Southeast Asia, China, Hong Kong, Taiwan, US and Europe. It partners with major global publishers to bring top-tier gaming experiences to local markets.
They are looking for (Senior) Legal Counsel, to provide legal leadership in areas such as mergers and acquisitions, capital markets, governance, and regulatory frameworks. The ideal candidate will be a trusted advisor to senior stakeholders and play a pivotal role in shaping the legal strategy behind key corporate initiatives.
This position offers significant visibility and impact, involving close collaboration with executive leadership and cross-functional teams across multiple jurisdictions. The successful candidate will help steer complex transactions, ensure regulatory alignment, and foster a culture of compliance and integrity throughout the organization.
Job Description
This role reports to the COO and CEO.
Responsibilities
1. Transactions & Investments
- Oversee legal aspects of acquisitions, divestitures, joint ventures, and strategic investments.
- Lead negotiations and manage documentation for deal execution, including investment agreements and shareholder arrangements.
- Coordinate with internal teams and external advisors to ensure smooth execution of cross-border transactions.
- Monitor post-deal obligations and governance structures.
- Identify legal risks and provide strategic input during deal evaluation.
2. Capital Raising & Market Engagement
- Advise on legal matters related to equity and debt financing, including private placements and structured instruments.
- Work with financial institutions and legal advisors on disclosure materials and regulatory filings.
- Ensure adherence to securities regulations across relevant jurisdictions (e.g., SGX, HKEX, SEC).
- Support investor communications and public disclosures in collaboration with finance and communications teams.
3. Governance & Board Support
- Assist in organizing board and shareholder meetings, including drafting resolutions and maintaining statutory records.
- Ensure compliance with governance standards across group entities.
- Provide guidance to directors and executives on fiduciary duties and conflict management.
- Manage relationships with external corporate secretarial service providers.
4. Compliance & Policy Development
- Track legal and regulatory developments affecting the business.
- Design and implement internal policies to meet compliance obligations.
- Deliver training programs on legal and regulatory topics such as anti-corruption, data privacy, and insider trading.
- Maintain internal registers and compliance documentation.
5. Legal Advisory & Strategic Projects
- Serve as a legal partner to business units on matters involving corporate structure, finance, and governance.
- Support internal restructuring, entity management, and regional expansion initiatives.
- Draft and review a variety of legal documents, including service contracts and confidentiality agreements.
- Provide legal input on cross-functional projects and external partnerships.
The Successful Applicant
- Law degree with admission to practice in Singapore or another common law jurisdiction.
- Over 7 years of post-qualification experience, ideally combining law firm and in-house roles.
- Strong background in M&A, capital markets, and corporate governance.
- Familiarity with international securities regulations, including U.S. SEC rules, is advantageous.
- Skilled in legal drafting, negotiation, and risk assessment.
- Confident communicator with the ability to influence senior stakeholders.
- Highly organized, independent, and capable of managing multiple priorities.
- A proactive, solutions-driven mindset with a collaborative approach.
