Location:

The role of Legal Counsel, China and SEA will be located in Singapore and responsible for the China and Southeast Asia regions. The incumbent will work as part of a dedicated legal department, operating from various locations, centrally managed by the General Counsel based in IMCD's head office in Rotterdam, the Netherlands.

Reporting:

The incumbent reports directly to the Legal Counsel, APAC, with a dotted line to the General Counsel.

Role Accountabilities: Legal/Compliance

Legal:
  • Provide day-to-day legal advice and support to business units and departments in China and the Southeast Asia region, which includes Indonesia, Malaysia, the Philippines, Singapore, Thailand, and Vietnam.
  • Draft and interpretcontracts in alignment with the commercial teams, offering counsel on a myriad of commercial laws, including antitrust and export control laws, and providing advice on sales, purchasing, distribution, supply chain, HR/labor law and other legal matters in relation to the business.
  • Keep Group and local contract policies and contract management processes up to date and supervisethe effective use of these policies and processes in the regional organizations.
  • Manage all company standard agreements, including terms and conditions.
  • Advise management on contract status, legal risks, and legal liabilities associated with different deals.
  • Research and anticipate unique legal issues that could impact the company.
  • Assist with coordination of integration projects concerning acquired companies.
  • Monitor governance of IMCD companies in China and the SEA region.
  • Utilize contract management software to manage contract database for company contracts.
  • Provide advice on labor and employment matters.
  • Utilize a learning management system (software) to create, manage, and conduct employee training for any legal matters.
  • Realize the effective retention, management, and efficient use of outside counsel.
  • Conduct discovery and support outside counsel in complex litigation matters.

Compliance:
  • Assist the Legal Counsel, APAC in driving the company compliance program in the region.
  • Assist in implementing policies and best practices to enforce legal compliance.
  • Assisting with trainings relating to IMCD's Code of Conduct and Business Principles, and investigatingethics-related issues.
  • Provide regulatory and government compliance guidance to the business teams as needed.

Targeted Skills & Capabilities
  • Strong legal knowledge in the field of commercial, distribution and agency law is essential.
  • Proven experience in drafting and negotiating contracts in a commercial setting.
  • Knowledge or experience in working in a chemical manufacturing or distribution environment is an asset.
  • Must be capable of operating autonomously with the highest level of integrity and ability to spot compliance challenges.
  • Must be able to effectively communicate both verbally and written, in an attentive, friendly, courteous, and service oriented manner.
  • Must be effective at listening to, understanding, and clarifying concerns.
  • Must be effectively able to anticipate, identify and problem-solve as necessary.
  • Strong competencies in: time management, prioritization, problem solving, teamwork orientation, technical capacity and with an ability to work effectively under time constraints and deadlines.

Travel
Regular travel to China (at least once every quarter) is expected for this position.

Required Education and Experience
  • Professional license holding a law degree. Additional degree(s)(e.g. LLMs) in a specialized and relevant area of law is an advantage.
  • Good standing with the relevant legal licensing authority.
  • 3 - 5 years' experience at a law firm or corporation.
  • Proficient in reading, writing, and speaking the English language.
  • Business fluency in the Chinese language.

Preferred Education and Experience
  • Experience in a fast-paced, in-house legal department environment.
  • Experience with contract management software such as OnBase by Hyland or similar.
  • Experience with training software such as Cornerstone.

Other Skills
  • Possess excellent communication skills and the ability to interact with all levels in the organization in a professional manner.
  • Ability to multitask and switch focus quickly without losing track of priorities.
  • Ability to think independently, using critical thinking skills to make decisions with a high degree of autonomy.
  • Deadline-driven, detailed oriented, and conscientious.
  • Must possess excellent organizational skills and the ability to think strategically.
  • Proficient with common computer programs, including Microsoft Office.
