Responsibilities:
Requirements:
- Corporate Governance & Compliance: Ensuring compliance with local laws and regulations, including the Singapore Companies Act, SGX (Singapore Exchange) listing rules, and other regulatory frameworks.
- Contract Management: Drafting, reviewing, and negotiating contracts, including commercial agreements, service contracts, and M&A (Mergers & Acquisitions) deals.
- Litigation & Dispute Resolution: Managing and liaising with external counsel on disputes or litigation matters.
- Board & Shareholder Matters: Assisting with board meetings, annual general meetings (AGMs), and ensuring proper legal processes in shareholder decisions.
- Risk Management: Identifying potential legal risks and advising the business on how to mitigate them.
- Employment Law: Advising the company on employee relations, labor disputes, and other HR-related legal matters.
- Regulatory Affairs: Keeping the company updated on changes to laws and regulations that could affect business operations, especially in the areas of corporate governance, compliance, and securities law.
Requirements:
- Degree in Law from a recognised university.
- 5-7 years of experience in a corporate legal environment (in-house or law firm experience).
- Admitted to the Singapore Bar (or another jurisdiction, with the ability to practice in Singapore).
- Solid understanding of corporate law, M&A, Securities Regulations, and Employment Law in Singapore.
- Strong communication skills and ability to work with senior management and external legal teams.
