This role will be responsible for overseeing and ensuring the organization's compliance with government laws, regulations, and internal policies, a vital role to ensure that the business operations are executed within the legal and ethical boundaries set by the government and industry regulations, to maintain Cerecin's integrity and reputation.

• Strong analytical skills, attention to detail, excellent communication abilities, and a thorough understanding of regulatory frameworks are essential for success as a Legal Compliance Officer. Full comprehension of the influences of the external environment of a corporate.
• High degree of professional ethics, integrity and agility.
• Good communication skills.

General IPO Project Management Responsibilities
Legal Responsibilities
- Lead IPO Process:
Oversee and coordinate the entire IPO process, including planning, documentation, and execution, ensuring compliance with relevant securities regulations and stock exchange requirements (e.g., KOSDAQ, SGX) - Stakeholder Management:
Collaborate with underwriters, legal counsel, accountants, and other advisors to manage due diligence, filings, and disclosures in line with exchange and regulatory standards - Listing Eligibility & Documentation:
Prepare and submit required documents for listing eligibility review, such as audited financial statements, internal control reports, and legal opinions, ensuring the company meets all quantitative and qualitative criteria - Prospectus & Disclosure:
Oversee the drafting and filing of the prospectus or registration statement, ensuring full, accurate, and compliant disclosure of company information, risks, and financials - Corporate Governance:
Ensure the company's board structure, audit committee, and independent director requirements meet the standards of the chosen exchange (e.g., KOSDAQ's board and committee rules - Post-IPO Legal Support:
Lead ongoing legal compliance post-listing, including adherence to disclosure obligations, corporate reporting, and shareholder communications
Compliance Responsibilities
- Regulatory Compliance:
Ensure the organization complies with all applicable laws and regulations throughout the IPO process, including ongoing obligations after listing. - Policy Development:
Develop, implement, and update compliance policies and procedures to align with IPO and public company requirements - Risk Assessment & Management:
Identify and address compliance risks, conduct regular assessments and audits, and implement internal controls to mitigate potential issues. - Training & Awareness:
Provide training to employees on compliance obligations, ethical standards, and regulatory expectations relevant to public companies - Monitoring & Reporting:
Establish systems for ongoing monitoring, periodic audits, and timely reporting of compliance matters to management and regulatory bodies - Regulator Liaison:
Act as the main point of contact for regulatory authorities, managing communications and responding to queries or investigations throughout and after the IPO
Qualifications:
- Educational Background: A bachelor's degree in law, finance, business administration, or a related field is typically required OR A bachelor's degree in law with admission to the Singapore, UK, or Australia Bar (to choose in between the earlier sentence or later sentence). Advanced degrees or certifications in compliance or risk management can be advantageous
- Experience: At least 10 years of working experience, IPO listing experience highly preferred .Relevant experience in compliance, legal affairs, audit or risk management is crucial. Familiarity with industry-specific regulations e.g. U.S. FDA, Korea, Singapore HSA, etc.. is a plus
- Knowledge: Good knowledge of compliance issues, particularly data processing and protection, sanctions, anti-corruption, conflict of interest, financial crimes, Excellent knowledge and understanding of corporate law
