They are seeking a Senior Corporate and Commercial Legal Counsel to join their team of legal professionals.

Job Description

• Corporate Legal Advisory
  Provide comprehensive legal support across a diverse portfolio of businesses within the group, including drafting, reviewing, and negotiating a wide array of commercial agreements to safeguard corporate interests and ensure legal compliance.
• Transactional Legal Support
  Contribute to corporate transactions such as mergers and acquisitions by preparing and negotiating key documents including term sheets, letters of intent, and purchase agreements for shares or assets.
• Contractual Interpretation & Advisory
  Offer strategic legal counsel to senior leadership on the interpretation and execution of contractual obligations to enhance operational efficiency and mitigate risk.
• Infrastructure Projects Legal Support
  Lead the legal aspects of major infrastructure initiatives, including capital expenditure projects, by managing the drafting, negotiation, and review of related contracts throughout the project lifecycle-from tendering and negotiation to execution and claims management.
• Risk Management & Dispute Resolution
  Identify potential legal risks in projects and operations, propose mitigation strategies, and oversee the resolution of disputes, including litigation and arbitration, in collaboration with external counsel and internal stakeholders.
• External Counsel Oversight
  Coordinate with external legal advisors to manage contentious matters, ensuring alignment with budgetary constraints and strategic objectives.
• Legal Technology Implementation
  Assess and implement legal tech solutions to enhance team productivity, including enterprise legal and entity management systems. Serve as the administrator for these tools, managing workflows, access, and training.
• Policy Compliance & Training
  Promote adherence to internal legal policies and procedures by delivering training and guidance to business units and legal colleagues. Support ad hoc legal initiatives as needed.

The Successful Applicant

• Holds an LL.B, admitted to practice in Singapore, with minimum 8 years of post-qualification experience. A strong academic background and proven legal expertise are essential.
• Experience in a top-tier international law firm or in-house legal department of a multinational corporation is highly valued. Exposure to the agricultural commodities or manufacturing sectors is advantageous.
• Familiarity with infrastructure-related claims and dispute resolution processes, particularly within Southeast Asia, is a plus.
• Demonstrated ability to work across jurisdictions and business functions, with a track record of supporting diverse operational needs.
• Resilient, proactive, and capable of engaging with senior executives. Able to manage multiple priorities under pressure, with strong ownership of responsibilities and a collaborative mindset.
• Excellent communication and interpersonal skills, detail-oriented, commercially astute, and adaptable to multicultural environments. Comfortable with legal technology and process optimization.
