About Our Client
Our client is a large Asian conglomerate with businesses in various resource-based industries, they are looking for a Legal Counsel with a focus on Real Estate.
This role primarily focuses on real estate development and portfolio management, while also encompassing broader corporate and commercial legal work across various business sectors.
Job Description
- Real Estate Portfolio Oversight: Spearhead all legal aspects pertaining to property lifecycle management, including land acquisition, divestment, joint ventures, development planning, construction, financing arrangements, leasing, asset management, and ensuring adherence to all relevant regulatory frameworks.
- Contract Lifecycle Management: Take the lead in drafting, negotiating, and meticulously reviewing a comprehensive array of legal and contractual documents. This includes, but is not limited to, investment and acquisition agreements, project finance documentation, hospitality management contracts, development agreements, construction contracts, lease agreements, and various service contracts.
- Transaction & Investment Support: Provide robust legal support for land acquisitions and investments, actively participating in due diligence processes, advising on deal structuring, and negotiating transaction documentation.
- Regulatory & Advisory: Offer expert legal guidance on zoning and planning matters, ensuring full compliance with local authorities and regulatory obligations. Provide general legal counsel for a substantial real estate portfolio and support the resolution of disputes and litigation as needed.
- Cross-Functional Collaboration: Partner effectively with internal departments such as finance, planning, construction, and sales to seamlessly integrate legal considerations into overarching business and development strategies.
- External Legal Engagement: Cultivate and manage relationships with external legal counsel, overseeing and coordinating all outsourced legal work to ensure efficiency and quality.
- Legislative Monitoring: Proactively monitor changes in relevant legislation and provide timely, insightful advice to the business on potential impacts and necessary adjustments.
- Broader Corporate & Commercial Legal Work: Beyond real estate, contribute to and support various corporate and commercial legal initiatives for other business units within the group. This includes providing legal support in project structuring and risk mitigation across diverse ventures.
The Successful Applicant
- A Bachelor of Laws degree is essential.
- Minimum of 8 years of demonstrated experience in corporate and M&A law, gained either within a reputable law firm or an in-house legal department, with a significant focus on real estate matters.
- Proven direct experience in managing complex deals, including conducting thorough due diligence, adeptly drafting and negotiating transaction documents, effectively coordinating cross-functional deal teams, and providing strategic legal advice to business stakeholders.
- A strong working knowledge of lease transactions and property management practices is required.
- An analytical mindset capable of dissecting intricate legal issues and developing pragmatic, effective solutions. Possesses strong conceptual and research capabilities with sound judgment and meticulous attention to detail.
- Exceptional written and verbal communication skills are crucial for effectively conveying complex ideas and propositions to both internal stakeholders and external professionals.
- Strong project management abilities are also necessary to efficiently manage a diverse workload.
- Highly organized and self-motivated, with the ability to work both autonomously and collaboratively within a team environment.
- Demonstrates strong interpersonal skills, resilience, and the capacity to work effectively under pressure while consistently meeting deadlines.
- Acts with integrity, competence, and sound judgment in all professional dealings.
