About Our Client

Our client is a large Asian conglomerate with businesses in various resource-based industries, they are looking for a Senior Legal Counsel to oversee the complex international transactions.

The ideal candidate will have experience in negotiating, structuring and documenting financial arrangements for lenders and, preferably, borrowers.

Job Description

• Provide expert legal advisory on a wide range of financial transactions, encompassing various credit facilities, trade finance instruments, and guarantees.
• Draft, review, and negotiate critical financial agreements, including foundational terms, lending contracts, inter-party agreements, and collateral documentation, as well as modifications and waivers.
• Lead legal support for significant organizational funding initiatives.
• Collaborate closely with internal departments on financial relationships, structural financing, and adherence to debt obligations.
• Uphold internal standards regarding risk management, regulatory compliance, and corporate governance.
• Contribute legal insights to strategic funding approaches, debt restructuring, and refinancing activities.
• Oversee external legal partnerships and orchestrate legal assistance for international dealings.
• Track evolving financial laws and regulations to proactively inform relevant departments about potential impacts.
• Facilitate internal financial arrangements, including intercompany loan documentation, while ensuring compliance with tax and transfer pricing regulations.
• Assist in negotiating financial terms and serve as a liaison with external financial entities when necessary.

The Successful Applicant

• Holds a law degree and qualified to practice law in a common law system.
• Minimum 8 years post qualification experience, in financial and lending transactions.
• Demonstrates expertise in intricate lending agreements and a thorough comprehension of both borrower and lender perspectives.
• Capable of autonomous work and assuming full responsibility for tasks; potential for leadership within a department is beneficial.
• Highly organized and attentive to detail.
• Strong analytical abilities coupled with excellent verbal and written communication skills.
• Adept at managing priorities and performing effectively in demanding situations.
• Proactive and collaborative team member who readily shares knowledge.
• Exemplifies high integrity and upholds the strictest standards of confidentiality.
