The Legal Counsel will play a critical supporting role within the ACE APAC Legal team, assisting senior team members on complex transactional and project-related matters.

This role provides an opportunity to gain hands-on experience, mentorship and growth opportunities in the clean energy sector.

Your responsibilities:

Transactional and Project Support:
  • Assist in providing legal counsel for ACE APAC's clean energy project development, M&A, and financing legal affairs across the Asia Pacific region.
  • Support the drafting, review, and negotiation of various project development documents, including but not limited to joint venture agreements, power purchase agreements, development services agreements, EPC contracts, O&M agreements, land agreements and connection agreements.
  • Drafting and reviewing a range of commercial agreements relating to projects throughout the APAC region, including consultancy agreements, works agreements and NDAs.

Project Financing:
  • Assist in the preparation and review of financing transaction documents, including loan agreements, security documentation, and related contracts, in collaboration with external counsel.

Commercial and Technical Team Support:
  • Assist in providing advice and counsel to commercial and technical teams engaged in renewable energy project development and execution, consulting with other legal team members and external counsel as necessary.

Corporate Governance and Compliance:
  • Support corporate governance requirements, including drafting resolutions, managing intercompany documentation, and ensuring compliance with corporate secretarial obligations.

Contract and Document Management:
  • Maintain contract records, assist with document execution and filing, and oversee the management of legal databases relevant to project and transaction documents.

Legal Risk Advisory:
  • Advise on legal risks associated with transactional activities, with a pragmatic approach aligned to commercial goals.

Coordination with External Counsel:
  • Liaise with external legal counsel on complex transactions and regulatory matters, ensuring timely and effective legal support.
  • Effective monitoring of external legal fees and budgets.

Process Improvement and Knowledge Development:
  • Assist with the development of legal templates, training materials, and research initiatives to support streamlined processes within the ACE APAC Legal team.

Your qualifications and experience:
  • A degree in law from a top-ranked, reputable university
  • Qualification as a legal practitioner in Singapore / Australia / New Zealand with 3-5 years post-qualification experience (PQE)
  • Training and experience working in an internationally recognised law firm (preferably with experience in energy project development/M&A/project financing)
  • Strong capability in supporting transaction management, multi-tasking, and prioritising competing demands are essential attributes
  • Proven ability to collaborate cross-functionally and to proactively engage effectively with all levels of staff and management
  • Highest standards of professional ethics, integrity and judgment
  • Excellent communication (written and verbal) and interpersonal skills with cross-cultural experience
  • Excellent teamwork skills and ability to partner with business and technical colleagues, external counsel and staff
  • Highly organised, detail oriented, efficient, resourceful with strong follow-through and passion to "make things happen"
