Job Description

• Advise on legal and regulatory matters related to the launch of green bonds and other financial instruments.
• Lead the legal aspects of setting up new entities and corporate structures for the business.
• Provide guidance and support on IPO readiness and execution, ensuring compliance with listing requirements.
• Draft, review, and negotiate contracts, agreements, and documentation for fund structuring (both green and conventional bonds).
• Monitor and interpret relevant laws, regulations, and market practices to ensure compliance and mitigate risks.
• Collaborate with internal stakeholders and external advisors (banks, regulators, law firms) to facilitate smooth transactions.
• Act as a trusted advisor to senior management on strategic legal issues impacting the business.

The Successful Applicant

A successful Senior Legal Counsel should have:

• Qualified lawyer in Singapore or any common law jurisdiction.
• Minimum 10 years of post-qualification experience, preferably in capital markets, corporate finance, or financial services.
• Proven track record in:Setting up new entities and corporate structures.Advising on IPO processes and regulatory compliance.Structuring and executing bond issuances (green or conventional).
• Strong understanding of securities regulations, listing rules, and ESG-related frameworks.
• Ability to work independently in a fast-paced, entrepreneurial environment.
• Resourceful, commercially minded, and well-connected within the legal and financial ecosystem.
