Job Description

Legal Advisory & Transactions

• Offer legal expertise in mergers and acquisitions, including reviewing, drafting, and negotiating agreements (e.g., purchase, investment, joint venture/shareholder contracts).
• Advise on matters related to investments and partnerships, including shareholder and board resolutions, and regulatory compliance.
• Support treasury operations by reviewing and negotiating documentation for loans, bonds, and other financial instruments.

Leadership & Project Management

• Take a proactive leadership role within the legal team, driving departmental projects to enhance legal capabilities, digital transformation, and productivity.
• Oversee the engagement of external legal advisors, including providing instructions and managing associated costs.

The Successful Applicant

• Role reports to Deputy General Counsel
• Bachelor of Laws from a recognized institution; admission to the bar in Singapore.
• Minimum 10 years of post-qualification experience ideally gained in a top-tier law firm or the legal department of a major multinational
• Demonstrated experience in advising on M&A transactions.
• Solid business acumen and exposure to a variety of transactions, such as corporate restructuring, joint ventures, and capital markets.
• Strong background in general corporate advisory, including company and contract law.
• Familiarity with the regulatory landscape, including relevant company, securities, and takeover regulations.
• Strong analytical and advisory skills, with the ability to support senior leadership.
• Effective interpersonal skills, with the ability to collaborate across functions and organizational levels.'
• Excellent drafting and negotiation skills.
• Capable of performing under pressure and meeting tight deadlines.
• Outstanding communication, writing, and presentation abilities.
• Team-oriented, yet able to work independently, with proven project and people management skills.
