egal Counsel - Corporate, Investment & Commercial

We are partnering with a fast-growing group with diverse investments across sectors. As part of their expansion, they are seeking a sharp and business-oriented Legal Counsel to join their dynamic team. This is an excellent opportunity for someone who enjoys working closely with management on strategic initiatives, M&A, and legal operations in a fast-paced, collaborative environment.

Key Responsibilities

General Legal Advisory

• Provide sound, practical legal advice to senior management and project teams on a wide range of corporate and commercial matters.
• Address legal queries from business development, operations, and other internal functions with a solution-oriented approach.
• Oversee and manage external legal counsel, ensuring efficient budget control and quality of service.

Investment & Commercial Transactions

• Support the investment team on M&A, joint ventures, and strategic investments across different sectors.
• Participate actively in negotiations and contribute legal expertise to project execution.
• Coordinate with external counsel to ensure transactions are executed efficiently and cost-effectively.

Dispute Resolution

• Work with external legal counsel on disputes including litigation, arbitration, and mediation.
• Provide strategic guidance to manage legal risks and ensure effective case handling.

Corporate Secretarial Oversight

• Supervise corporate secretarial matters (in-house or outsourced), including entity setup/closure, board/shareholders' resolutions, and regulatory filings with ACRA/IRAS.
• Coordinate board and shareholder meetings and ensure statutory compliance across group entities.

Requirements

• Degree or Master of Laws from a recognized university.
• 3-5 years of experience in a corporate legal or in-house legal role.
• Strong exposure to commercial contracts, M&A/JV transactions, and general corporate governance.
• Fluent in English and Mandarin to liaise with Mandarin-speaking counterparts and China HQ.
• Business-minded, collaborative, and solutions-driven.
• High integrity with a strong sense of professionalism and discretion.
