Lead PRM contract management function which includes but not limited to contract review, execution risk assessment, negotiation to ensure all contracts (Sales contracts and buyout purchasing contracts) are in acceptable terms and conditions to the company from risk minimization and legal implication perspective.

 

Job Responsibilities:


Contract Administration and Management

  • Function as a business partner, participate the bid feasibility / financial evaluation meetings at bid preparation phase by providing professional contract structure view including but not limited to tax implications, intercompany considerations for building up bid supply scope, support structure and approach
  • Works with EPMAP legal team to review customer contract terms and conditions and draft specific preferred business terms / propose proper amendments to facilitate the negotiations with customer.   
  • In supporting the winning strategy of a bid, conducts contract T&C risk assessment meeting with legal, sales, project team, management representative (as needed) to finalize a win supportive and risk minimizing deviation list. And design negotiating strategies accordingly.
  • Assists sales managers to negotiate with customers for acceptable terms and conditions to win the business and in the same time ensure the risk exposure controlled at acceptable levels. 
  • Scrutinizes the final signed contract to ensure the agreed terms are incorporated in the contract.
  • Works with legal teams to draft purchase terms and conditions (further to the standard terms and conditions of purchase) for project buyouts and ensure Emerson obligations under final sales contract terms and conditions are supported by buyout suppliers by working with project managers.
  • Ensures all reviewed customer contract T&Cs are managed, stored and used as per local record retention policy and confidentiality requirements of such final contracts.

 

Continuous improvement of Quote To Order process efficiency

  • Proactively collects feedback on contract/order execution hiccups from project team, sales order management, finance and other teams and identify the contract terms loop holes which had, have and could put order execution on hold due to unfavorable T&Cs subjecting to customer mercy, propose and implement coping strategies on contract terms to smooth the execution of orders to meet shipment as planned.
  • Maintains and continuously improves PRM special terms and conditions of sales/purchase by interacting with Emerson Autosol contract team and PRM project, operation, sales and finance functions etc.
  • Maintains and continuously improves PRM standard quotation templates, sales contract templates to facilitate quotation and contract conclusion with minimized business risks.

 

  • Maintains and continuously improve PRM contract T&C review and approval policy to standardize the T&C governing practice across PRM AP business platforms.
  • Systemizes and automates customer T&C review request, deviation list maintenance, negotiation results maintenance and final deviation approval as per PRM AP terms and conditions approval DOA.
  • Continuously seeks for improvement of contract management process efficiency by means of automation, lean etc.

 

Confidentiality obligations tracking

  • Maintains a tracker of orders with confidentiality obligations.
  • Sets up and maintain an effective internal procedure for disclosing order related information.
  • Coordinates to acquire necessary approval before disclosing any confidential information.
  • Ensures the awareness of all related employees on such disclosing approval process and Emerson’s confidentiality obligations.

 

Training

  • Ensures all related employees (sales, AE, project team, order management team etc) with sound knowledge of Emerson’s requirements in T&C of sales, internal procedures for T&C review and approval by conducting internal training or other available training source in Emerson.
  • Maintains training records.

 

Others

  • Conducts internal audit across PRM AP sites to ensure contract terms and conditions’ compliance.
  • Any other tasks assigned by direct manager.

 

Job Requirements:

  • Degree or Diploma in Arts, Science, Commerce, Engineering, Business or Law with relevant experience in contracts administration.
  • At least 10 years of relevant project contract review and management experiences.
  • Risk management and Project management experience is a plus.
  • Fundamentals of finance and accounting is a plus.
  • Strong work commitment and can work under pressure.
  • Strong interpersonal skills, good verbal and written communication skills.
  • Is ok to travel as required.
